Standard Single Entity Customer License

Agreement and acceptance

This Standard Single Entity Customer License is between SouthEast Alliance Group, LLC (SEAG) and the legal entity identified in the checkout record (Customer). It covers the Federal Gold Rush GovCon AI Toolkit version delivered with the order. The individual accepting the license for Customer represents that they are authorized to bind that entity. Customer accepts this license through the required checkout acceptance. Save the order receipt and this version of the license.

License grant

Subject to payment and compliance with this license, SEAG grants Customer a limited, nonexclusive, nontransferable, nonsublicensable license to copy, customize, and use the downloaded Toolkit for the internal business purposes of one legal entity. The license to use the purchased version does not expire merely because an update or support period ends. Employees and individual contractors may use the files only for that entity and must protect them against unauthorized sharing. Customer remains responsible for their use.

Permitted use

Customer may configure Toolkit instructions inside AI platforms it is authorized to use, customize templates, organize company and opportunity information, prepare and review proposals, and make reasonable internal working and backup copies. Customer owns its preexisting information and original proposal work product, subject to third-party rights and platform terms. Customer may submit and use that work product without Federal Gold Rush attribution.

Separate entities and consulting

This license does not include deployment for multiple consulting clients, affiliates, subsidiaries, joint ventures, teammates, or unrelated businesses. Each entity that receives an installation or Toolkit source files needs its own license unless SEAG grants expanded rights in writing. Consultant, multi-client, reseller, enterprise, and training rights require a separate written license.

Restrictions

Customer may not resell, sublicense, rent, give away, publicly post, or redistribute the Toolkit or substantially similar reproductions of its source files. Do not place the source files in public repositories, public prompt libraries, public AI workspaces, shared marketplaces, or accounts accessible to unauthorized entities. Do not use those source files to create a competing toolkit, template collection, course, membership, software product, or AI agent for sale or distribution. Do not remove copyright or license notices to conceal unauthorized use. These restrictions do not prevent authorized use of Customer’s original proposal work product.

Ownership

The original Toolkit content is copyright 2026 William “Cliff” Vaughan. It is licensed and distributed by SouthEast Alliance Group, LLC. The Toolkit is licensed rather than transferred in ownership. SEAG grants only the rights stated here; all other rights in the original Toolkit are reserved. Customer retains its own information and original work product.

AI platforms and sensitive information

Customer chooses and controls its AI platform, account, fees, security settings, users, retention, and data. The purchase does not include an AI platform subscription or authorization to upload restricted information. Before using classified information, CUI, export-controlled material, source-selection information, personal data, or confidential third-party information, Customer must verify that its system and handling are authorized by applicable law, contracts, platform terms, and organizational policy. SEAG does not automatically receive information entered into Customer’s files or AI accounts.

Human review and product limits

The Toolkit supplies downloadable instructions and editable workflow files. It is not autonomous software, an award guarantee, or a proposal submission service. Customer is responsible for complete solicitation and amendment review, factual and citation verification, eligibility, certifications, pricing, security, approvals, signatures, deadlines, and final submission. AI output may be incorrect, incomplete, outdated, fabricated, or biased. Independently review it before reliance. The Toolkit is educational and operational material rather than legal, accounting, cybersecurity, tax, or procurement-law advice.

Price, delivery, updates, and support

The order record controls the amount paid and any applicable taxes. The Founding 500 launch offer is $197 USD one-time for the first 500 qualifying Toolkit purchases; the future standard price is $297 USD. The Toolkit is separate from the Intelligence Brief subscription and has no recurring Toolkit charge. Delivery is through the Payhip purchase download and receipt. Only updates, support, and services expressly stated on the order or sales page are included. No perpetual updates, custom setup, consulting, proposal review, training, remote administration, or third-party platform troubleshooting is promised.

Toolkit refunds

Because this is a downloadable product, a change of mind after access or download does not ordinarily qualify for a refund. SEAG will review duplicate or incorrect charges, non-delivery, and materially corrupt or incomplete files. Where appropriate, SEAG may first correct access or supply a working replacement. Contact SEAG through https://payhip.com/FederalGoldRush/contact with the receipt and a description of the problem; do not send full card details or restricted proposal data. Refunds required by applicable law will be honored. This policy does not waive mandatory rights or prevent reporting unauthorized charges. A full refund ends the Toolkit license; Customer must stop using and delete Toolkit source copies, while retaining original proposal work product and records required by law or contract.

Warranties and liability

To the maximum extent permitted by applicable law, the Toolkit is provided as is and as available without warranties of completeness, accuracy, fitness, noninfringement, award success, uninterrupted availability, or compatibility with every platform or procurement. To the same extent, SEAG and the creator are not liable for indirect, incidental, special, consequential, or lost-profit damages; aggregate liability relating to the Toolkit is limited to the amount paid for the applicable license. Limitations do not apply where prohibited by law.

Termination and controlling terms

Customer may end this license by stopping use and deleting its Toolkit source copies. SEAG may terminate for a material license breach upon written notice. After termination, Customer must stop use and delete source copies, except records that must be retained under law or contract; retained records may not be reused or redistributed as a Toolkit. Ownership, restrictions, and legally applicable liability provisions survive termination. Georgia law governs, subject to mandatory protections that apply to Customer. A separate written agreement signed by SEAG may grant additional rights. Changes posted after purchase do not silently reduce the rights granted with that purchase.
